The general terms and conditions of online sale are listed below (hereinafter, the general terms and conditions of products sale), which apply to any other specific contractual agreement that may be entered into, where applicable. These terms and conditions govern the relationship between TELIC, SAU (hereinafter, TELIC or the company) and third parties (hereinafter, customers) who purchase the products offered on the www.telic.group website.

From the moment in which customers access the website and purchase the products offered through this digital channel, this entails acceptance of these terms and conditions, as well as the express, full and unconditional acceptance of all the Terms and Conditions of Use of the website and the General Terms and Conditions of Sale published by TELIC. If customers agree with the content of the General Terms and Conditions of Sale, they must mark the box located next to the following text: “I have read and accept the General Terms and Conditions of Sale”. If they do not do so, they will not be able to proceed with the purchase process.

Customers may, at any time, freely access the General Terms and Conditions of Sale at no cost and store them, print them or reproduce them from their computer or mobile device, in a simple, permanent and direct manner.

Orders may be drawn up in the languages available on the digital channel on which the sale is made.

Through this digital channel, TELIC only sells its own products and services and, therefore, the resulting contractual relationship is between the customer and TELIC. Thus, the latter does not provide its services to any third parties who may receive the product through the customer.

3. The user

Access to and browsing and use of the website confers user status (hereinafter, the User). Thus, from the moment in which they start browsing the website, the User accepts all the terms and conditions established herein, as well as any subsequent modifications, without prejudice to the application of the corresponding mandatory legal regulations, where applicable. When buying any product, the User is automatically subject to these General Terms and Conditions.

The User declares that they have the legal capacity to enter into contracts and execute these General Terms and Conditions in order to purchase the products offered on www.telic.group and that they fully understand these General Terms and Conditions. The User must comply with these General Terms and Conditions of Sale.

The User expressly and unconditionally accepts that they are solely and exclusively responsible for their access and use of the www.telic.group website.

4. Data collection

The information or personal data provided to us by the User during the course of the online purchase will be processed by TELIC in accordance with its Privacy Policy and Cookies Policy.

By using this website and expressly agreeing to the Privacy Policy, the Cookies Policy and these Terms and Conditions of Sale, the User consents to the use of said information and data.

The User also guarantees the truthfulness and authenticity of the information provided through the corresponding registration forms, thus undertaking to keep the information up to date.

5. Main characteristics of the products sold by TELIC

The products sold by TELIC are divided into several categories, the most important being medical devices, cosmetics and personal care products, among others.

A medical device is regulated in accordance with Regulation (EU) 2017/745 on Medical Devices and is defined as followed: “medical device means any instrument, apparatus, appliance, software, implant, reagent, material or other article intended by the manufacturer to be used, alone or in combination, for human beings for one or more of the following specific medical purposes:

• diagnosis, prevention, monitoring, prediction, prognosis, treatment or alleviation of disease,
• diagnosis, monitoring, treatment, alleviation of, or compensation for, an injury or disability,
• investigation, replacement or modification of the anatomy or of a physiological or pathological process or state,
• providing information by means of in vitro examination of specimens derived from the human body, including organ, blood and tissue donations,

and which does not achieve its principal intended action by pharmacological, immunological or metabolic means, in or on the human body, but which may be assisted in its function by such means”.

According to Regulation (EU) 1223/2009, cosmetic products are defined as “any substance or mixture intended to be placed in contact with the external parts of the human body (epidermis, hair system, nails, lips and external genital organs) or with the teeth and the mucous membranes of the oral cavity with a view exclusively or mainly to cleaning them, perfuming them, changing their appearance, protecting them, keeping them in good condition or correcting body odours”.

6. Guarantee

In the case of medical devices manufactured by TELIC, the latter guarantees that the product complies with Regulation (EU) 2017/745 on Medical Devices and that it has been manufactured according to TELIC's quality management system procedures, certified under standard ISO 13485. TELIC will not be held liable for any medical costs and direct or indirect damages due to the failure to function or the incorrect functioning of the products when they have been used without respecting the instructions for use recommended by the manufacturer.

In the event of any malfunctioning or product defect, TELIC's Quality Guarantee Department must be notified immediately. In the event of a serious incident related to the product, TELIC must be notified immediately ([email protected]).

In the case of cosmetic and personal care products, TELIC guarantees that they have been manufactured in accordance with Regulation (EU) 1223/2009 and Royal Decree 1599/1997 of 17 October, on Cosmetic Products, and in line with Good Manufacturing Practice (GMP), certified by the Spanish Agency of Medicines and Medical Devices.

In the case of all other products distributed by TELIC, the guarantee will be in line with applicable regulations and that granted by each manufacturer.

Furthermore, TELIC guarantees the correct functioning and effectiveness of all its products until the expiry date indicated on the packaging.

7. How to purchase our products

Our online store is a B2B commerce (business to business) and only professional customers may purchase products on the website. Therefore, if the User is not already a customer, they must fill out a form before registration, to be evaluated by us, so that we can give them access to our products, prices and terms and conditions. The customer must provide truthful information on the data requested in the forms and accept these General Terms and Conditions.

Once the application has been accepted, the User must select the products they wish to purchase, adding them to their “shopping cart”. After selection, if they wish to continue with the transaction, they must click on “complete purchase”.

The User must provide the necessary delivery information: name and surname, company name, full address and telephone number. This information is saved in TELIC's database and can only be accessed by authorised website staff.

The User may introduce discount voucher codes to obtain discounts on the final price for the TELIC products in their shopping cart.

Having accepted the General Terms and Conditions and once all delivery information has been entered, the User must proceed with the payment.

The User may choose between the different payment methods offered on the www.telic.group website.

8. Price of the services

The product prices are given in euros and do not include the taxes related to the sale of products at the applicable rate at the time of the transaction.

TELIC unilaterally reserves the right, at any time, to change the price of the products offered on its website.

The prices do not include shipping costs. Unless offered free of charge, shipping costs will be indicated at the end of the order, once the products have been placed in the shopping cart and the delivery address has been provided.

9. Data protection

In accordance with current legislation, the personal data of users will be processed for the purpose of managing, in the broadest sense of the term, the online purchase of products on www.telic.group, as well as the rights and obligations deriving therefrom.

The personal data processed by TELIC will be provided by the User upon filling out the registration form necessary to carry out the purchase, and all those provided during the course of the purchase.

The personal data subject to processing will be those provided at the time of registration and at the time of the online purchase:

• Identification details: name and surname, identity document, postal address, telephone number.
• Contact details: email.
• Economic, financial and insurance details: bank details.

The legal basis for the processing is compliance with legal and contractual obligations associated with the online purchase. The personal data will be retained until the legal limitation periods have elapsed.

Likewise, we hereby inform users that by accepting our Terms and Conditions of Sale, their personal data may be used to send them advertising related to the brand and to products that are of interest to them. To that end, the data will be retained until the User expressly indicates their desire to withdraw their consent.

The User guarantees the truthfulness of the data provided and undertakes to notify TELIC of any changes to ensure that they are always kept up to date.

10. Right of withdrawal. Changes and returns procedure

Claims will not be valid if the merchandise has been manipulated, if the product has not been used in accordance with its intended use or if the claim has not been made in writing to the seller in the 14 days following receipt.

Possible returns of non-defective material that has been delivered will only be accepted in the 45 days following delivery and after having received written authorisation from TELIC. In this case, the material must be returned in its original packaging and the transport costs will be borne by the customer.

TELIC reserves the right to choose whether to replace the items that have been legally rejected or to refund the sales price if the material is defective.

11. Loss or theft

The loss or theft of the product is the exclusive responsibility of the customer who made the purchase and TELIC will not be held liable for any responsibility in this context.

12. Legislation and applicable jurisdiction

These General Terms and Conditions of Sale, as well as the sale of TELIC products, are subject to the application of Spanish Law, the Civil Code of Catalonia and other congruent laws, which will be applicable in all matters not covered in these General Terms and Conditions of Sale with regard to their interpretation, validity and execution.

Unless otherwise required by law, any dispute or litigation related to the interpretation, compliance or non-compliance with the contract entered into between TELIC and the customer will be governed by the applicable regulations of the legal system and will be subject to the competent courts. For cases in which the law provides for the possibility of the parties to choose a jurisdiction, both parties, expressly renouncing any other jurisdiction that may correspond to them, will submit to the Courts of the city of Granollers (Barcelona).

Acceptance of these General Terms and Conditions of Sale by the customer is an essential and compulsory prior condition. The customer declares, under their own responsibility, that they have read and accept these General Terms and Conditions of Sale.

In the event of any conflicts or conflicting interpretation of the versions in different languages of these General Terms and Conditions, those written in Spanish will prevail.
